Bylaws will give you a sense of who we are and how we do what we do. Feel free
to contact any of our club Officers and Board Members
with any questions that you may have.
Bylaws of the Vancouver Bicycle
Club
Adopted October 11, 2006
Article 1. Name and Address
The name of the bicycle club shall be the VANCOUVER BICYCLE CLUB. The Bicycle
Club shall be incorporated as a non-profit corporation in the state of
Washington. The address of the bicycle club shall be PO Box 1456, Vancouver, WA
98668.
Article 2. Purpose
The purpose of the Bicycle Club shall be as follows:
(1) Educating members and the public in safe riding habits and bicycle
etiquette;
(2) Promoting the use of bicycles in the community for recreation,
transportation, and physical fitness;
(3) Provide bicycle rides at various levels of challenge so that every bicycle
rider can participate in group activities;
(4) Encouraging the addition of bike lanes, bike paths, and other facilities for
bicycle riders.
Article 3. Membership
Section 1. To qualify for membership in the Bicycle Club, a
person shall be interested in bicycling and shall pay
dues as described in Article 4.
Section 2. There shall be one class of membership: (1) Active.
Only Active members shall be entitled to vote.
Section 3. All Active members are encouraged to lead Club rides at
a time an place as decided on by that member, said member must be in good
standing with the club in so far as their dues are paid in full at the time of
the event.
Section 4. All active members will receive a membership card that
can be used for discounts at supporting businesses in the area.
Article 4. Dues
Section 1. Annual Dues shall be paid by all active members, as
specified.
Section 2. Dues shall be reviewed yearly and determined by the
Board of Directors.
Section 3. Members who have not paid their dues by their specified
anniversary date shall be dropped from the rolls, and will no longer receive a
monthly newsletter.
Section 4. Former members who wish to be reinstated have that
option by paying their anniversary renewal amount, however, if said individual
has not been an active member for the past 90 days, said individual must apply
as a "NEW" member.
Article 5. Board of Directors
Section 1. The Board of Directors shall consist of nine elected
officers, plus the immediate past president, and four elected Members-at-Large.
The Ride Around Clark County (RACC) Coordinator, if not an officer, shall be
appointed as one of the four Members-at-Large.
Section 2. The Board of Directors shall hold meetings every other
month beginning with February, and at other times as determined by the
President.
Section 3. The Board of Directors shall plan and direct the
activities of the Bicycle Club, establishing policies to guide decisions.
Section 4. A quorum of the Board shall consist of six Board
Members.
Section 5. Appointed officers not holding a vote as a member of
the Board of Directors shall be Bicycle Advisory Committee Liaison, Bicycle
Safety Coalition Liaison, Bicycle Alliance of Washington Liaison, Assistant
Webmaster, Assistant Editor, and Librarian.
Article 6. Officers and Elections
Section 1. The elected officers of the Bicycle Club shall be
President, Vice President, Secretary, Treasurer, Membership Director, Road
Captain, Assistant Road Captain, Webmaster, and Newsletter Editor. All officers
shall be active in the Club.
Section 2. Duties of the elected officers shall be as
follows:
a. The President shall preside over meetings of the membership and
meetings of the Board of Directors. The President shall appoint committee
chairpersons and direct the activities of the Bicycle Club in accordance with
the wishes of the Board of Directors. The President shall also handle all public
relation duties that may arise through the Club. These duties must be bicycle
related. The President will be bonded.
b. The Vice President shall act in the absence of the President The
Vice President will be bonded.
c. The Secretary shall keep minutes of all membership and Board
meetings and shall handle correspondence as directed by the President.
d. The Treasurer shall keep accurate and detailed financial records
and receive and disburse all monies. Treasurer is personally responsible for all
monies in account. The Treasurer will be bonded.
e. The Road Captain is responsible for recruiting active members to
lead rides and provide those ride leaders with Ride Waiver sheets. The Road
Captain will develop a schedule of rides each month for publishing in the
newsletter.
f. The Membership Director is responsible for maintaining the
membership roles by receiving membership applications, dues, sending welcome
letters and membership cards to new members, and maintaining the club mailing
list.
g. The Editor compiles the monthly club newsletter and sees that it
is printed.
h. The Webmaster manages and keeps current the club's
website.
i. The Assistant Road Captain manages Ride Waiver sheets for
scheduled rides, distributing the sheets, compiling statistics from them and
storing them as required. Provides ride coordinators with a list of their
responsibilities.
Section 3. A nominating committee consisting of three active
members appointed by the President shall present a slate of candidates for
officers and Member-at-Large positions to the membership at the November
meeting. Other nominations may be made from the floor. All nominees shall be
active and in good standing. Consent of the nominees shall be obtained.
Section 4. Election of officers and Members-at-Large shall take
place at the January meeting. In the event of a contest, the vote shall be by
secret ballot. A majority of votes cast shall be necessary to elect.
Section 5. Officers shall serve a one-year term beginning February
1st, and may be re-elected the following year at said Officers option.
Section 6. Resignations by officers or directors shall be
submitted to the secretary in writing. Vacancies on the Board shall be filled by
appointment, by President, or by vote.
Article 7. Meetings.
Section 1. Regular Meetings of the Bicycle Club shall be held on the
second Wednesday of every other month beginning with January. An alternate
meeting date may be chosen by the President if the regular date falls on a
national holiday, the meeting room is not available, or it would facilitate
program presentations.
Section 2. The President may call special meetings.
Section 3. Ten (10) active members present at a meeting shall consist of
a quorum for the election of officers.
Section 4. Unless otherwise provided, Robert's Rules of Order
shall be the rules of procedure governing the conduct of all meetings.
Article 8. Amendments.
Section 1. Amendments to these Bylaws shall be submitted in
writing to the membership at the following meeting.
Section 2. A vote on any amendment shall be taken at the next
Board meeting of the Bicycle Club. Amendment shall be by a majority vote of
Board members.
Article 9. Properties.
Section 1. The Board of Directors shall establish all rules governing
the use of all Bicycle Club property.
Section 2. The Vice President shall manage all club properties.
Article 10. Dissolution.
Section 1. In the event of dissolution of the VANCOUVER BICYCLE CLUB,
any remaining assets shall be transferred, delivered and set over to such
nonprofit organization as the Board of Directors shall decide.
Article 11. Fiscal Year.
Section 1. The fiscal year shall be the calendar year.
